| Description |
Our client is searching for a Lawyer with 5yrs Corporate experience to work in the Fund department of the leading law firm in Gibraltar. You will be required to advise on and establish a number of international funds with the existing funds ranging in size from $1M to over $1Billion. You will assume responsibility for the preparation of all documentation required for the formation of new funds and any changes to existing funds. Draft the Prospectus, Company Articles, Administration Agreements, Custodian/Depositary Agreements, Secretarial Services Agreement, Directors Service Contracts, Promoters Remuneration Agreements (based on Management Fee and Performance bonus) and all other agreements required. Attend Board meetings and providing advice to the directors and incorporate and structure protected cell companies for use as a vehicle by Funds.
The department is also involved in advising on offshore corporate structures and the role includes advising on and establishing corporate structures in Gibraltar, working with various third party advisers including other legal, accountancy firms and banks and corporate finance houses in all major countries, as well as working with the clients own advisers. Also assuming responsibility for the preparation of all documentation required for the formation of the structure as well as drafting corporate documentation required to complete any transaction including Sale and Purchase Agreements, Loan Agreements, Joint Venture documentation, Articles and board minutes.
You will have 5 years post qualification experience as a Corporate, Corporate Finance or Commercial Lawyer. Post qualification experience in Funds is an advantage but not a necessity. Good working knowledge of Anglo Saxon Trust law, mutual fund legislation and transaction negotiation experience would be an advantage. Excellent inter-personal and communication skills and the ability to deal effectively with all levels of clients, third party service and staff and management within the group.
